This Legal Agreement (“Agreement”), including the Terms and Conditions (“Terms”) govern the relationship between MBC FZ LLC, a limited liability company registered in Dubai, UAE with its registered office at Building 3, Dubai Media City, P.O. Box, 72627, Dubai, UAE, (MBC, we, us, our) and each user of the Services (you, your).

Please read these Terms carefully before you use in any manner the set top box product, now known as “GOBX” and any and all related features, services, and programming including but not limited to Content (the “Services”). By using or allowing the use of the Services, you are agreeing to the Terms in this Agreement that relate to the Services including any changes to these Terms or changes to the Services in accordance with these Terms. If you do not agree to these Terms, do not use the Services.

Your use of the Services is also subject to our Privacy Policy that can be found at https://www.gobx.com/en/privacy-policy/, which contains information about how we will use your personal data. Please read our Privacy Policy before using the Services. If you do not agree to our Privacy Policy, do not use the Services.

We reserve the right to amend this Agreement and update/change these Terms from time to time in response to changing legal, regulatory or operational requirements.  Any changes to these Terms will be published on our website at https://www.gobx.com/.  When these changes are material, we will provide you notice of any such changes (including when they will take effect) in accordance with the law.

Where applicable, we will ensure that you have had the possibility to accept those changes so as to allow you to continue using the Services or to refuse – in which case, you will be entitled to cancel your use of the Services.   Otherwise, your first use of the Services after you have been notified of the new changes will constitute acceptance of such changes.

Please check the website listed in this paragraph from time to time to take note of any updates.

For individual websites, applications, other services, products, or parts thereof that are accessed or used via the Services, whether owned and/or controlled by us or third parties, additional terms may apply.

You agree that you will not use the Services in any manner other than in compliance with this Agreement and these Terms.

Access to and use of the Services is permitted on a temporary basis, and we reserve the right to withdraw or amend any service and/or feature we provide through the Services without notice, including but not limited to replacing or withdrawing programming, encrypting or unencrypting programming, channels, or Content. Furthermore, we may change the Content at any time. If the need arises, we may suspend access to the Content, or stop it indefinitely. Any of the Content may be out of date at any given time, and we are under no obligation to update such material. The Content available on or through the Services is provided without any guarantees, conditions, or warranties as to its accuracy.

The Services available to you may, or may not, differ from the Services available to other users of the Services. We will not be liable if for any reason the Services, or parts of the Services, are unavailable at any time or for any period of time.

We, at our discretion, may make certain updates to the Services.

You are responsible for making all arrangements necessary for you to have access to the Services. You are also responsible for ensuring that all persons who access the Services through your set top box product are aware of these Terms, and that they comply with them.

We may make available subscription packages from time to time with content and pricing as defined on Gobx.com. You shall subscribe and pay in advance for a mandatory minimum period defined by us from time to time for all subscription packages offered by us.

Occasionally, and for some eligible customers, We are allowed to enable using the Service for a free promotional period. If You are given a free promotional period trial, We will inform You of the terms and duration of the free promotional period. free promotional period trial cannot be combined with any other offers.

At the end of the free promotional period, You – can choose to subscribe to a weekly, monthly, yearly subscription plan as defined by us and as per the payment methods made available by us. (along with any taxes and fees)

we will inform you about the end of the free promotional period at least 3 days day before its expiry using SMS or on-screen display communication on the STB.

After the end of any free promotional period, you may elect to continue to receive the subscription package subject to availability and subscription charges set by us in our sole discretion.

No refunds shall be made if the subscription is terminated before the end of the above mentioned mandatory subscription period.

At any point during the period of the subscription, we may remove or add new channels to the subscription package at our own discretion.

We may define certain content and/or packages to be available within specific countries only and to avail access to such content , you may be required to connect your GOBX device to the internet for us to validate your access to such content.

You acknowledge and agree that once you have subscribed to a subscription package defined by us, using any of the payment methods defined by us, the subscription cannot be refunded or transferred to any other customer or to a new subscriber.

Prices and promotions of the packages may vary from time to time and any offer and communications thereof is for its intended purpose only.

The subscription packages as defined by us will be available for purchase to all citizens and residents of majority legal age which may be older than 18 in some countries at the time of purchase in all countries where the Services are available.

GOBX reserves the right to make available any of the packages in any country.

To subscribe to the any package on the Service, you must pay upfront through any of the payment methods provided by us.

You must have your device connected to a satellite receiver configured for Arabsat (26” East).

Subscription to the Services is allowed for the purpose of personal use at home only and shall not be used for commercial purposes.

When You pay the required fees for subscription for the Services via a credit card or any other payment method acceptable to us, You explicitly agree to billing and payment of the yearly, monthly or weekly subscription fees (depending on your subscription plan), other service fees, and any fees and charges, exchange rate and any due taxes arising from your use of this payment method. If you wish to change the payment method and/or change the credit card details, You can and must update your payment information in your GOBX Account. Upon the expiry of your credit card and/or any change to your financial information without changing and/or renewing the information and/or cancellation of your subscription, you agree that We will continue to bill You and You will continue to pay our dues, and You also assume your responsibility for any amounts due.

You acknowledge that additional fees may be charged (including without limitation: Your internet subscription data offers/subscriptions/etc …(“Internet charges”) and that You are fully responsible for Internet charges while using the Services as charged by your network/your mobile company/operator.

Billing means due and/or debit fees, according to the method of payment You choose. Your subscription falls due at the expiry of the current subscription period and You may track the renewal dates through my account page on GOBX.com.

We will bill your payments on a yearly, monthly or weekly basis (depending on your subscription plan). A year, month or a week (depending on your subscription plan) begins on the day of your subscription. If your subscription day is not included in a particular year, years, month/months, week/weeks (e.g. the 31st day of a month followed by a month of 30 days), We will invoice You on the last day of this year, month or week (depending on your subscription plan). You agree that the amounts billed on your account may vary from year to year, month to month or week to week due to offers, your subscription plan, fees and taxes, and will allow us to bill You at variable rates. We will notify You by email, SMS or On-screen display messaging about any change to the amount of your GOBX subscription, except that We will not be able to inform You of any changes to fees and taxes.

We have the right and absolute discretion to provide You with additional limited rights, and we have the absolute right to decide the quality and number of rights, upon interruption of the Services for technical reasons, provided that the said provision, if any, is and will not be considered as an acquired right to anyone.

If you are enrolled for the Services on a recurring billing plan through your credit card, You must cancel your subscription to avoid billing You before the yearly, monthly or weekly renewal date (depending on your subscription plan). We will add any fees and/or taxes – if any – to your yearly, monthly or weekly bill (depending on your subscription plan).

For avoidance of doubt if you are enrolled for subscription to the Services through any payment method defined by us , including but not limited to recurring Credit card billing, one-off credit card billing, voucher, retailer wallets etc, we are not liable to refund any subscription amounts that have been already collected by us till the date of cancellation.

Upon the cancellation of your subscription, the cancellation applies from the end of your subscription validity and no sums paid in this framework will be refunded to You. You can cancel your subscription through My account  page on GOBX.com or reaching the GOBX customer care.

The Services are subject to our Privacy Policy. Please review our Privacy Policy available to you at https://www.gobx.com/en/privacy-policy/.  MBC and its affiliates may use and share any of the information provided to us by you and any additional information we hold about you for the purpose set out in the Privacy Policy. Third parties may have their own privacy policy and therefore please inform yourself of those said policies in addition to ours.

When you use the Services, certain information is automatically collect and stored anonymously and is in no way associated with your name or Account. We may use this information and combine it with aggregated information from other users.

Your information will at all times be handled in accordance with our Privacy Policy.

You agree that the Services include security technology and features that limit the use of the Services, and therefore you shall use the Services in compliance with the applicable usage rules established by us and/or any applicable third parties and that any other use of the Services may constitute infringement of certain intellectual property rights. Any such security technology and/or features are an integral part of the Services and, as such, you agree not to violate, circumvent, reverse engineer, decompile, disassemble, or tamper with the security technology and/or features related to the Services. You agree not to access, copy, attempt to modify or modify the software related to the Services or use modified versions of the software or features to gain unauthorized access to the Services. You agree not to access or attempt to access any Account related to the Services that you are not authorized to access. Violation of said security technology and/or features or network may result in civil or criminal liability.

All intellectual property rights, including but not limited to, copyright, database rights, user interface fonts, logos, trade names, trademarks, service marks, and other material, whether registered or unregistered in the Services and its contents, including but not limited to audio, text, images, video or any other form or combination (“Content”) are owned by us or licensed to us. The Content is protected by the relevant intellectual property laws, treaties, and other applicable laws. We, and any licensors, reserve all our rights in law and equity.

You agree that you will not, nor will you allow anyone else to, copy, download, modify, redistribute, distribute, relay, store in any medium, broadcast, transmit, re-transmit, modify, create derivative works, sell, rent, or lease, all or any part of the Content or Services.

Your use of the software that is part of the Services, except for the purpose and use as specifically outlined in this Agreement and these Terms, is strictly prohibited.

In the event third party content is available through the Services, you agree that we are not responsible in any way for such third party content and we do not warrant, nor have any liability towards, such third party content. You agree that you will not use any third party content in a manner that would infringe or violate the rights of any other party and that we are not responsible in any way for your use of such third party content.

In the event you fail to comply, or we suspect that you have failed to comply, with any part of this Agreement or these Terms, we reserve the right to terminate immediately, and without notice to you, your use of the Services and/or your Account. You will remain liable for any and all amounts outstanding up to, and including, the date of termination.

Notwithstanding the above, we reserve the right to change, suspend, or discontinue either in part or completely your Services and/or Account temporarily. Said temporary suspension shall be at our sole discretion and we will not be liable to you or any third party for our exercise of said right.

We also reserve the right to terminate your use of the Services and/or your Account and/or access to Content if we decide, in our sole discretion, that such use places an undue burden on our networks or servers. We will not be liable to you or any third party for our exercise of said right.

Children and young persons considered to be a minor under the laws of the relevant country should only use the Services or view the Content with the permission of a parent or guardian. The parent or guardian of anyone defined as a minor per the applicable law using these Services should review these Terms carefully with said minor to ensure the minor understand this Agreement and these Terms. If you permit a minor to use, in any manner, the Services or Content you are solely responsible for deciding whether or not that Content is appropriate for that minor.

We may, from time to time, offer various features through the Services that require registration and the creation of an account (“Account”). If at any time you choose to create an Account with us, the Terms contained herein will apply in addition to any other terms and conditions provided at the time of registration or notified to you by us and posted on our website at http://www.mbc.net. Acceptance of any additional terms and conditions is required to use services or view content related to your Account. You will not create more than one personal Account.

You are solely responsible for your Account, including the security and use of your Account by yourself and others including minors. By allowing others to access your Account, you agree to be responsible for ensuring that they comply with these Terms and you agree to be responsible for their activity using the Services and viewing the Content.

In the event you believe the security of your Account has been compromised or your Account is being used unlawfully, you agree to notify us immediately. We are not responsible for any loss arising from any unauthorized use of your Account.

All information you submit must be accurate and complete. You must also update your information as needed to maintain the accurateness and completeness of said information. Please keep your Account information, including but not limited to your password, confidential.

You agree that we may store and use any and all information provided by you for purposes related to managing and maintaining your Account.

You may terminate your Account provided that such termination is compliant with the termination procedures of the service or Services.

We reserve the right to immediately terminate or restrict your Account without notice or liability, if we determine in our sole discretion that you have breached these Terms, violated any law, rule, or regulation, engaged in other inappropriate conduct, or for any other business reason. If we disable your Account, you will not create another one without our express permission.

There is no charge to use the Services, unless explicitly mentioned. However, your internet service provider may impose charges for you to have access to the amount of bandwidth required to use the Services.

WE DO NOT WARRANT OR GUARANTEE THAT YOUR USE OF THE SERVICES, INCLUDING CONTENT, WILL BE ERROR-FREE OR UNINTERUPTED. YOU AGREE THAT WE MAY CHANGE, REMOVE EITHER TEMPORARILY OR PERMANENTLY EITHER IN PART OR IN WHOLE THE SERVICES INCLUDING CONTENT AND YOUR ACCOUNT, AT ANY TIME WITHOUT PRODVING YOU NOTICE.

YOU EXPRESSLY AGREE THAT YOUR USE OF THE SERVICES AND CONTENT IS AT YOUR OWN RISK. ALL SERVICES AND CONTENT ARE PROVIED BY US TO YOU “AS IS” WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MECHANTIBILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NONINFRINGEMENT TO THE EXTENT PERMITTED BY THE APPLICABLE LAW AND JURISDICTION.

IN NO EVENT SHALL MBC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, AGENTS, CONTRACTORS, OR LICENSORS BE LIABLE FOR ANY DIRECT, INDIRECT, PUNITIVE, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING FROM YOUR USE OF THE SERVICES OR CONTENT OR FOR ANY OTHER CLAIM RELATED IN ANY WAY TO YOUR USE OF THE SERVICES OR CONTENT, INCLUDING BUT NOT LIMITED TO ERRORS OR OMISSIONS IN ANY CONTENT TRANSMITTED OR OTHERWISE MADE AVAILABLE VIA THE SERVICES EVEN IF ADVISED OF THE POSSIBILITY, TO THE EXTENT PERMITTED BY THE APPLICABLE LAW AND JURISDCITION.

WE SHALL USE REASONABLE EFFORTS TO PROTECT INFORMATION SUBMITTED BY YOU IN CONNECTION WITH THE SERVICES OR YOUR ACCOUNT, HOWEVER YOU AGREE THAT THE SUBMISSION OF SUCH INFORMATION IS AT YOUR SOLE RISK AND WE, THEREFORE, DISCLAIM ANY AND ALL LIABILITY TO YOU FOR ANY LOSS OR LIABILITY RELATING TO SAID INFORMATION IN ANY MANNER, TO THE EXTENT PERMITTED BY APPLICABLE LAW.

WE DO NOT WARRANT OR GUARANTEE THAT THE SERVICES, CONTENT OR YOUR ACCOUNT WILL BE FREE FROM LOSS, CORRUPTION, ATTACK, VIRUS, INTERFERENCE, HACKING, OR OTHER SECURITY BREACH OR INTRUSION AND WE THEREFORE DISCLAIM ANY LIABILITY RELATING THERETO.

BY YOUR USE OF THE SERVICES, CONTENT, OR ANY ACCOUNT YOU AGREE, TO THE EXTENT PERMITTED BY APPLICABLE LAW, TO HOLD MBC, ITS   OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, AGENTS, CONTRACTORS, AND LICENSORS HARMLESS WITH RESPECT TO ANY CLAIM OR CLAIMS ARRISING FROM YOUR BREACH OF THIS AGREEMENT OR THESE TERMS, YOUR USE OF THE SERVICES OR CONTENT OR ANY ACCOUNT. THIS INDEMNITY PROVISON APPLIES TO ALL VIOLATIONS BOTH DESCRIBED HEREIN AND CONTEMPLATED BY THIS AGREEMENT AND TERMS.

This Agreement constitutes the entire agreement between us and you, governs your use of the Services, Content, and Account(s), and supersedes any prior agreements between you and us. Additional terms and conditions may also apply to your use of affiliated services or third party content or software and we are not liable for the content or your acknowledgment of those terms and conditions. If any part of this Agreement or Terms is found to be invalid or unenforceable such part shall be deemed replaced by a term or provision that is valid and enforceable and expresses as closely as possible the intention of the invalid and/or unenforceable term or provision. All other terms and provisions will continue in full force and effect. Any failure by us to enforce any right or provision of this Agreement or Terms does not constitute a waiver by us of such term or provision or any other term or provision.

MBC is headquartered and operates from Dubai, United Arab Emirates. You agree to comply with all local, governorate, and national laws, statues, regulations, and ordinances that apply to your use of the Services, Content, and Account(s). You expressly agree to the exclusive jurisdiction of the Dubai International Financial Centre Courts in Dubai, United Arab Emirates for any claim or dispute with us or for any claim or dispute related to your use of the Services, Content, or Account(s).
